Terms and Conditions

This document explains the current operating policy. Nothing in it removes a right or remedy that applicable law does not allow us to exclude.

These Terms and Conditions govern access to and use of Cite Worthy, a business software service operated by Codezela Technologies (Pvt) Ltd ("Codezela", "we", "us" or "our"). By accepting an invitation, using an issued account or approving an order, you agree to these Terms and the policies linked from them. If you use Cite Worthy for an organisation, you confirm that you may bind that organisation.

1. Access model

Cite Worthy has no public registration or public trial. We review requests and an administrator issues a single-use invitation only after approved payment or an explicit complimentary grant. An access-request form is not an order, does not create an account, and does not start a charge or renewal. Accounts may not be sold, shared outside the approved organisation or transferred without written approval.

2. The service

The service supports authorised website analysis, content planning, source-conscious drafting, human review, export, billing and administration. Features may depend on the selected plan, configured providers and current certification status. OnePay checkout, Card on File and platform AI remain unavailable unless their environment switches, feature flags and provider capabilities are expressly enabled. We may improve the service while preserving paid entitlement snapshots and material contractual commitments.

3. Customer responsibilities

You are responsible for account users, accurate billing and business information, lawful instructions, and final review of every output before publication. You must have authority to analyse each website and use each source, brand asset, prompt, upload or item of personal data supplied to the service. You remain responsible for factual accuracy, intellectual-property clearance, disclosures, advertising compliance and publication decisions. Generated text, research suggestions and SEO checks are assistance, not legal, financial or professional advice and do not guarantee rankings, traffic or commercial outcomes.

4. Plans, currency and invoices

Plans use dated, immutable price and allowance snapshots. Sri Lankan residents are invoiced in LKR. An eligible non-Sri Lankan customer may be invoiced in USD only after the required non-resident review. Displaying another currency on a public page does not decide invoice residency. An issued invoice locks its catalogue version, amount, currency and term. Taxes or statutory charges are handled as stated on the invoice after the applicable status is confirmed.

5. Payment and activation

Current paid access uses administrator-reviewed arrangements. Manual bank evidence never activates access by itself. An authorised administrator must verify actual settlement against the exact invoice amount and currency. A browser return, uploaded receipt or message is not settlement proof. Ambiguous, late, duplicate or excess payments remain under reconciliation and do not create duplicate entitlement. OnePay remains disabled until separately certified and enabled.

6. Renewal, expiry and cancellation

Unless an approved order says otherwise, renewal requires a new or approved invoice and verified payment. No automatic renewal or Card on File charge is active while those capabilities are disabled. At subscription expiry, new cost-generating work stops. The account then receives seven days of read, export, billing and support grace before suspension. Expiry is not deletion. Cancellation and refund handling follows the published Refund and Cancellation Policy and mandatory rights under applicable law.

7. Intellectual property

Codezela and its licensors retain rights in the Cite Worthy service, software, design, documentation and brand. You retain rights you hold in customer content. You give us a limited permission to host, process, transform, back up and transmit customer content only as needed to provide, secure and support the service. You must not copy, reverse engineer, resell, scrape or exploit the service except where applicable law does not permit that restriction.

8. Acceptable use and suspension

The Acceptable Use Policy forms part of these Terms. We may limit or suspend access when reasonably needed to protect users, providers or the service, respond to a legal duty, stop misuse, address unpaid or expired access, or contain a security incident. Where practical and safe, we will explain the issue and a path to review. Serious abuse or unlawful conduct may result in termination.

9. Availability and third parties

We work to provide a reliable service, but maintenance, security events, networks and third-party providers can affect availability. Third-party services have their own terms and may change independently. We do not promise uninterrupted service or that every external source or provider will remain available. We use resumable, idempotent workflows where proportionate and preserve customer records according to the Privacy Policy.

10. Warranties and liability

Nothing in these Terms excludes a right or liability that applicable law does not allow us to exclude. To the fullest extent permitted by law, the service is supplied on an as-available basis and implied warranties are limited. Codezela is not responsible for indirect, incidental, special or consequential loss, loss of profit, or publication decisions based on unreviewed output. Any aggregate contractual liability will not exceed the fees paid for the affected service period, except where a different limit is required by law or an approved written order.

11. Governing terms and changes

These Terms are governed by the laws of Sri Lanka, subject to mandatory consumer or other protections that apply to you.
